The ISS model allows certain technical provisions that companies include to provide maximum flexibility without necessarily planning to use them, says Nora McCord, managing director with Steven Hall & Partners. The danger is that trying to take into account such a full range of possibilities can lead to some disclosures that are unlikely but might be perceived negatively by shareholders.

“Folks are going to have to take a step back and think about how they disclose it,” McCord says. “I don’t imagine that they would necessarily change the requests.”
